This presentation explores how to identify the typical IP issues that arise in share purchase agreements, mergers and acquisitions of businesses, and other commercial transactions. It will also review the types of IP rights that are commonly overlooked when drafting agreements, as well as the dangers of representations and warranties with respect to IP issues, such as representations of validity.
