This paper provides a brief overview of the Court of King’s Bench commercial list and considers its jurisdiction and the kinds of applications brought before it. The paper also addresses the obligations and remedies sections of the Alberta Business Corporations Act. Under the oppression remedies section, the author explores who can stand as a “complainant”, what are the badges of fraud, whether the “Business Judgment Rule” shields conduct from potential remedies, and Part 18 investigations.
